Los Claveles AGMs DOA and Club
4th June 2025

This year we will be holding two AGMs, one for the Development Owners’ Association and one official meeting for Club Los Claveles which will be held by the new committee in Tenerife.

The meetings will take place concurrently and will be held at the Hotel G F Fañabé, Avenida Bruselas 13, Adeje, Santa Cruz de Tenerife, Spain on Wednesday 4th June 2025. First call at 10.00am, second call 10.30am, followed by the Annual General Meeting of Club Los Claveles at 11.30am.

You will have or will shortly receive the agenda and voting form for both meetings. All owners, Club and Escritura may vote on the DOA meeting, only club members can vote on the Club meeting.

Transport will be provided for those staying at Los Claveles, just let Digna know.

Special General Meeting for Club Members

Dear Owner,

Among the resolutions voted at the Open Meeting held on September 27th 2024, the calling of a Special General Meeting (SGM) was approved with the Founder Member entitled to call such SGM.

Now it is time to celebrate the SGM and two resolutions are going to be voted in relation to the Club Committee. One is to suspend and remove the current five members of the Club Committee, including any advisor, as the current Committee does not comply with the 1999 Constitution (amended in 2014). The other one is the election of three non-permanent members of the Club Committee, to which any Club Owner may stand as candidate. For such purpose on October 14th 2024 a communication was sent to all Club Owners for them to stand as candidates and now it is time to vote and elect at the SGM taking place on November 28th 2024 at Hotel Gran Costa Adeje, Avenida Bruselas 16, Adeje, Santa Cruz de Tenerife, at 9.30 a.m. first call and 10 a.m. second call.

Also at the SGM another resolution will be voted: Withdrawing of the court case carried on by the Club Committee and its members against Hutchinson Trustees Ltd. Hutchinson Trustees Ltd (Hutchinson) is the current Trustee for Club Los Claveles and as explained at the Open Meeting by Hutchinson´s representative, Club Los Claveles and the five individuals that form the Club Committee have sued Hutchinson with only one goal: make Hutchinson retiring from the Trusteeship. But it was clear at the Open Meeting that the Owners don´t want Hutchinson to be replaced. First, because the Club Committee don’t have Owners’ approval for such court action; and second, because the Club Owners have not approved incurring the costs and expenses of such a case as, according to the Deed of Trust, the Trustee may be indemnified from all costs.

It is time to take important decisions, and we encourage all Club Owners to participate in the SGM either personally or by proxy and vote.
